Article One: Purpose
The Third Regiment, Incorporated, is a historical education organization dedicated to the preservation of the memories
of the soldiers who served in the armies of the American Civil War.

Member organizations and individuals thereof participate in a wide variety of public and private educational events
including but not limited to: encampments, parades, battle recreations, public speaking appearances, and related
historical-themed events. Member units pledge to work inclusively with each other at events.

Heretofore, the organization shall be known as The Third Regiment.

Article Two: Compliance
The Third Regiment is incorporated under the provisions of the Nonprofit Corporation Law of 1998.

Article Three: Pecuniary Gain
The Third Regiment shall not contemplate pecuniary gain nor profit, incidental or otherwise by its board of directors,
members, or member organizations.

Article Four: Membership
Membership shall consist of member groups or “units” who portray soldiers and civilians of the Civil War era. A mem- ber unit consists of five or more individuals. Each member unit shall have one vote regardless of the size of its membership. New member units may be added to the Third Regiment by a two-thirds majority vote of the member units. Member units shall pay dues to the corporation for the purpose of the everyday functioning of the corporation. The cost of membership dues will be voted upon by a majority of the member units, upon recommendation by the Treasurer. Member units may be removed from the Third Regiment by a two-thirds majority vote of the member units.

Article Five: The Executive Board
The Executive Board shall consist of a President, Vice President, Secretary, Treasurer, and Military Commander. These positions shall be elected annually, to serve for a one-year term. All elected persons of the executive board may serve more than one consecutive term. Though the Executive Board may perform duties necessary for the everyday operation/s of The Third Regiment, the elected members shall not have a vote during corporate elections, amendments to these by-laws, or any other actions outside the realm of their stated duties. Elected individuals of the Executive Board may be
removed from office at any time by a majority vote of the member units.

Article Five, Section One: The President
The President shall conduct and oversee each meeting convened by the membership. The President shall receive reports from each of the elected board of directors and convey such reports to the member units of the corporation. The President shall publish the meeting agenda at least one week prior to each meeting. The dates, times, and location of each meeting to be determined by a majority vote of the member units.

Article Five, Section Two: The Vice President
The Vice President shall assist the President on the everyday operations of the corporation,and act as president pro tempore in his absence.

Article Five, Section Three: The Secretary
The Secretary will record and report the minutes from each meeting. The Secretary shall keep all records pertaining to the operation of the corporation, including all reports made by the Military Commander and itemized financial reports kept and compiled by the Treasurer. The Secretary shall act as the parliamentarian at each meeting, and as such publish the agendas for each upcoming meeting.

Article Five, Section Four: The Treasurer
The Treasurer shall maintain a bank account, collect dues, and disperse payments for services incurred for the necessary operation of the corporation. The Treasurer shall make all itemized account statements available at each meeting, or upon request of any member unit. These reports include all past transactions from the last report as well as a projected budget for the next fiscal year. Said fiscal year shall follow the calendar year, from date of formal incorporation. Expenditures over the amount of $500 must be approved by a majority vote of the membership.

Article Five, Section Five: The Military Commander
The Military Commander represents the organization at all its official activities. The Military Commander shall act as liaison between the corporation and organizers of events. He shall submit after action reports to the members of the Executive Board for distribution to the member units. The actions of the Military Commander being that of a historical role, he is bound by the texts and manuals of the Civil War period to aid in the functioning of the corporation while participating at events. In the absence of the Military Commander, he may appoint another individual from the member units to temporarily act in his place. The military commander shall respect the organizational integrity of each member unit and neither separate nor combine member units without their consent.

Article Six: Safety
Being primarily a historical reenactment organization, The Third Regiment shall adopt and strictly adhere to a culture of safe practices that exceeds all standard operating safety procedures for any activity it attends. As the safety of its members during all planned activities is paramount, it shall establish a safety committee from a representative of each member “unit” to create a document detailing a Standard for Safe Operations for all activities.

Article Seven: Amendments
Amendments to these by-laws may be by 2/3rd majority vote of the member units in attendance at a regularly scheduled meeting.
